Allgemeine Geschäftsbedingungen (AGB) für den einmaligen Privatverkauf

§ 1 Geltungsbereich und Vertragspartner
  1. Diese Allgemeinen Geschäftsbedingungen (AGB) gelten für den einmaligen, privaten Verkauf des auf dieser Webseite dargestellten Kunstwerks über die Plattform "Aether Constructor Gallery".
  2. Der Vertrag kommt zustande mit dem im Impressum genannten Webseitenbetreiber als privatem Verkäufer bzw. Vermittler im Rahmen einer einmaligen privaten Veräußerung.
§ 2 Vertragsgegenstand und Zustandekommen des Vertrages
  1. Gegenstand des Vertrages ist der Verkauf des auf der Webseite beschriebenen und abgebildeten einzelnen Kunstwerks zum Festpreis von 5.000,00 EUR.
  2. Die Präsentation des Kunstwerks auf dieser Webseite stellt kein rechtlich bindendes Angebot, sondern eine Aufforderung zur Abgabe eines Kaufangebots dar. Durch das Abschließen des Bestellvorgangs und das Absenden der Zahlung gibt der Käufer ein bindendes Kaufangebot ab. Der Vertrag kommt erst mit der ausdrücklichen Bestätigung des Versands durch den Verkäufer zustande.
§ 3 Gewährleistungsausschluss (Privatverkauf)
  1. Da es sich hierbei um einen reinen, einmaligen Privatverkauf eines Kunstwerks aus Privatbesitz handelt, erfolgt der Verkauf unter ausdrücklichem Ausschluss jeglicher Sachmängelhaftung, Gewährleistung und Garantie.
  2. Das Kunstwerk wird im Zustand "wie gesehen" und abgebildet verkauft. Ansprüche auf Minderung, Wandlung oder Schadensersatz wegen etwaiger Mängel sind ausgeschlossen.
§ 4 Preise und Zahlungsbedingungen
  1. Der angegebene Preis von 5.000,00 EUR ist ein Endpreis. Eine Ausweisung der Umsatzsteuer (Mehrwertsteuer) erfolgt nicht, da es sich um eine private Veräußerung gemäß § 23 EStG handelt (hilfsweise Anwendung der Kleinunternehmerregelung gemäß § 19 UStG).
  2. Der Kaufpreis ist sofort über die im Checkout-Prozess angebotenen Zahlungsdienstleister (Shopify Payments / PayPal) zu entrichten.
§ 5 Eigentumsvorbehalt
Das Kunstwerk bleibt bis zur vollständigen Bezahlung, erfolgreichen Wertstellung und unwiderruflichen Gutschrift des gesamten Betrages von 5.000,00 EUR auf dem Bankkonto des Verkäufers das uneingeschränkte Eigentum des Besitzers. Eine Übergabe an den Versanddienstleister erfolgt erst nach vollständiger Wertstellung.
§ 6 Versand- und Gefahrenübergang
  1. Der Versand erfolgt ausschließlich über einen Premium-Kurierdienst (DHL Express, FedEx oder UPS) inklusive einer vollständigen Transportversicherung bis zu einem Wert von 5.000,00 EUR.
  2. Der Versand erfolgt zwingend mit Sendungsverfolgung (Tracking) und per persönlicher Übergabe gegen Unterschrift des Käufers.
  3. Bei einem Privatverkauf geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung der Ware gemäß § 447 BGB mit der Übergabe der Ware an den Versanddienstleister auf den Käufer über.
§ 7 Anwendbares Recht und Gerichtsstand
Es gilt ausschließlich das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts (CISG). Gerichtsstand ist der Wohnsitz des Verkäufers in Deutschland.
General Terms and Conditions for One-Time Private Sale

§ 1 Scope and Contractual Partner
  1. These General Terms and Conditions (AGB) apply exclusively to the one-time, private sale of the artwork displayed on this website via the platform "Aether Constructor Gallery".
  2. The contract is concluded with the website operator named in the Legal Notice (Impressum), acting as a private seller or agent within the framework of a one-time private disposal.
§ 2 Subject Matter and Conclusion of the Contract
  1. The subject matter of the contract is the sale of the single artwork described and illustrated on the website for the fixed price of EUR 5,000.00.
  2. The presentation of the artwork on this website does not constitute a legally binding offer, but an invitation to submit a purchase offer. By completing the checkout process and submitting payment, the buyer submits a binding purchase offer. The contract is only concluded upon explicit confirmation of shipment by the seller.
§ 3 Exclusion of Warranty (Private Sale)
  1. Since this is a purely private, one-time private sale of an artwork from personal possession under German law, the sale is made under the express exclusion of any liability for material defects, warranty, or guarantee.
  2. The artwork is sold in an "as-is" and as-illustrated condition. Claims for price reduction, cancellation of the contract, or damages due to potential defects are expressly excluded.
§ 4 Prices and Payment Terms
  1. The specified price of EUR 5,000.00 is the final price. No sales tax (VAT) will be displayed or charged, as this is a private disposal pursuant to § 23 EStG of the German Income Tax Act (alternatively, the small business regulation pursuant to § 19 UStG applies).
  2. The purchase price is payable immediately via the payment service providers offered during the checkout process (Shopify Payments / PayPal).
§ 5 Retention of Title
The artwork remains the absolute property of the owner until full payment, successful clearance, and irrevocable crediting of the entire amount of EUR 5,000.00 to the seller's bank account. Handover to the shipping service provider will only occur after full payment clearance.
§ 6 Shipping and Transfer of Risk
  1. Shipping is carried out exclusively via a premium courier service (DHL Express, FedEx, or UPS), including full transport insurance up to a value of EUR 5,000.00.
  2. Shipping strictly includes a live tracking number and requires a personal signature upon delivery by the buyer.
  3. In the case of a private sale under German law (§ 447 BGB), the risk of accidental destruction and accidental deterioration of the goods passes to the buyer as soon as the goods are handed over to the shipping service provider.
§ 7 Applicable Law and Jurisdiction
The contractual relationship shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is the residence of the seller in Germany.
